1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your use of the Find a Contract platform ("Service"), operated by Find a Contract Ltd, a company registered in England and Wales ("Company", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms in their entirety.

If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation. The term "you" refers to both the individual user and the organisation on whose behalf the account is operated.

We reserve the right to update these Terms at any time. Material changes will be notified via email or in-app notification at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

2. Description of Service

Find a Contract is an AI-powered procurement intelligence platform that aggregates UK public contract opportunities from government data sources, including Contracts Finder and Find a Tender. The Service provides contract search, AI-powered matching and analysis, pipeline management, competitor intelligence, buyer analytics, and collaboration tools designed for UK suppliers.

The Service is intended for use by UK-based businesses and organisations seeking to identify and bid on public procurement opportunities. The data displayed is sourced from publicly available UK government APIs that publish data in the Open Contracting Data Standard (OCDS) format.

3. Account Registration

To access the Service, you must create an account by providing accurate and complete information, including your name, email address, and organisation details. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Each account is associated with an organisation. The first user to register creates the organisation and is assigned the super administrator role. Additional team members may be invited and assigned roles in accordance with the permissions system described in the Service documentation.

You must notify us immediately at support@findacontract.co.uk if you become aware of any unauthorised use of your account.

4. Subscription and Billing

The Service is offered on a monthly subscription basis at a price of £99 per seat per month (exclusive of VAT where applicable). Each seat permits one named user within your organisation to access the Service. There is no long-term contract or commitment.

New accounts receive a 7-day free trial with full access to all features. A valid payment card is required to start the trial. Your card will be charged automatically at the end of the 7-day trial period unless you cancel before it ends. If you cancel during the trial, you will not be charged.

All payments are processed securely through Stripe. By subscribing, you authorise us to charge your designated payment method on a monthly recurring basis. You may manage your subscription, update payment details, or cancel via the billing section in your account settings or through the Stripe Customer Portal.

Subscriptions renew automatically at the end of each monthly billing period. You may cancel at any time; cancellation takes effect at the end of the current billing period. Monthly payments are non-refundable and no pro-rata refunds are provided for the remaining portion of a billing period.

5. User Obligations

You agree to use the Service solely for lawful purposes related to UK public procurement intelligence. You must not misuse the Service, attempt to gain unauthorised access to any part of the Service or its infrastructure, or use the Service in any way that could damage, disable, or impair its operation.

You are responsible for ensuring that all information you provide through the Service, including your supplier profile and organisation details, is accurate and kept up to date. Inaccurate profile information may affect the quality of AI-generated match scores and recommendations.

You must not share your login credentials with any person outside your organisation. Each user must have their own licensed seat. You must not use automated tools to scrape, harvest, or extract data from the Service beyond the features provided.

6. Intellectual Property

All intellectual property rights in the Service, including the platform software, user interface design, AI models and algorithms, documentation, and branding, are and remain the property of Find a Contract Ltd or its licensors. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

The underlying procurement data displayed within the Service is sourced from UK government open data APIs and is published under the Open Government Licence v3.0. Our proprietary value lies in the aggregation, analysis, AI-powered scoring, and presentation of that data.

You retain ownership of all data you input into the Service, including supplier profiles, pipeline notes, comments, FOI request content, and saved searches. You grant us a limited licence to process this data solely for the purpose of providing the Service to you.

7. Government Data and Accuracy

The contract opportunities, buyer information, and award data displayed in the Service are sourced from Contracts Finder and Find a Tender, which are UK government platforms publishing data in the Open Contracting Data Standard (OCDS) format. We ingest this data daily and present it as-is, with additional analysis and scoring layers.

While we make reasonable efforts to ensure data accuracy and freshness, we do not guarantee that the information displayed is complete, current, or free from errors. Government data sources may contain inaccuracies, omissions, or delays. You should always verify critical information directly with the relevant contracting authority before making bidding decisions.

8. AI-Generated Content

The Service uses artificial intelligence (powered by Anthropic Claude) to generate match scores, contract briefs, bid assessments, and other analytical content. This AI-generated content is provided for informational purposes only and does not constitute legal, financial, or procurement advice.

AI outputs may contain inaccuracies or fail to account for factors not present in the available data. You should exercise independent professional judgement and seek appropriate expert advice before making procurement decisions based on AI-generated analysis.

9. Limitation of Liability

To the fullest extent permitted by law, Find a Contract Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of contracts, loss of data, or business interruption, arising out of or in connection with your use of or inability to use the Service.

Our total aggregate liability to you for any claims arising under or in connection with these Terms or the Service shall not exceed the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

10. Indemnification

You agree to indemnify and hold harmless Find a Contract Ltd, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your use of the Service, or your violation of any applicable law or regulation.

11. Termination

Either party may terminate these Terms at any time. You may terminate by cancelling your subscription through the account settings. We may terminate or suspend your access to the Service immediately if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law.

Upon termination, your right to access the Service ceases immediately. We will retain your data for a period of 30 days following termination, during which you may request an export of your data. After this period, your data will be permanently deleted in accordance with our Privacy Policy.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating any legal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiation for a period of not less than 30 days following written notice of the dispute.

13. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and any applicable Data Processing Agreement, constitute the entire agreement between you and Find a Contract Ltd regarding the Service.
